FinCen BOI Filing Requirements
New federal regulations under Corporate Transparency Act require over 40 million corporations, LLCs, and other entities to report their beneficial ownership information to FinCen. 
*Notice:  As of January 23, 2025, the Supreme Court has stayed the injunction that halted enforcement of the CTA.

Covered Entities (Reporting Companies) That Must File
The CTA requires the following entities to report their beneficial owners to FinCen:

  • C-Corporations
  • S-Corporations
  • Limited Liability Companies (LLCs)
  • Limited Partnerships (LPs)
  • Limited Liability Partnerships (LLPs)
  • Business Trusts Created by Filing
  • Any Other Entity Created by Filing a Document with Secretary of State or Similar Office
  • Foreign Registered Entities
  • Non-U.S. entities registered to do business in the United States, such as through a state authority, are considered a "reporting company" covered by the BOI disclosure rules.
